Questions Las Cruces Buyers Bring to the Table
- How much of your work depends on the university?
- If NMSU, its staff or its students are a big share of sales, buyers ask how steady that has been and whether contracts renew.
- Are your gross receipts tax filings current?
- Buyers want proof your New Mexico tax accounts are paid up. Your CPA can pull the records before anyone asks.
- Will your manager stay on after the sale?
- A buyer from out of town pays more when someone local already runs the day to day work.
- Could this business grow toward El Paso?
- Many buyers see both cities as one market. Show any customers you already serve on the Texas side.
A different state an hour away
Many people treat Las Cruces and El Paso as one region, and buyers often do too. But a company based in Las Cruces lives under New Mexico law, not Texas law. That changes who you file with and what you owe.
The Texas guides on this site do not apply to a New Mexico company. Your CPA and attorney handle the New Mexico steps.
The agencies that handle your sale
When a Las Cruces company sells, the paperwork goes to New Mexico offices:
- The New Mexico Taxation and Revenue Department, for gross receipts tax and state income tax
- The New Mexico Secretary of State, for entity filings
- The New Mexico Department of Workforce Solutions, for unemployment accounts
- The Doña Ana County Assessor, for business property
We do not give New Mexico rates, deadlines or forms here. Those change, and your CPA and attorney should walk you through each one.
Plan for state income tax on the gain
This is the surprise for many owners. Texas has no personal income tax. New Mexico taxes income, so an owner who lives in New Mexico may owe state tax on the gain from a sale, on top of federal tax.
That can change what you net from the same price. Talk to your CPA before you agree on a deal structure, since an asset sale and a stock sale can be taxed differently.
What sells here
Las Cruces has a steady base of medical offices, home services, contractors, farm suppliers and companies that serve the university. Billing and back office firms do well too.
Our page on selling a medical billing company covers what buyers check in that field.
Wherever you are, buyers price a company of about $1 million or more in sales on the cash it makes for an owner. Many trade around 2 to 3 times that figure. See how buyers price a business.
Buyers come from both states
Larger companies draw buyers from farther away. A Las Cruces company may interest an El Paso owner who wants to expand, or a buyer moving in from out of state. A broker who knows both sides of the line can reach both.
Expect seven to nine months from hiring a broker to closing. The timeline page shows each stage.
